Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NovaClassHub platform, including our website, web dashboard and mobile applications (collectively, the "Services"), provided by Amigo Smart Tech ("we", "our" or "us"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old, or the legal age of majority in your jurisdiction, to create an account and accept these Terms on behalf of a school or organisation. If you are agreeing on behalf of a school, you represent that you have the authority to bind that organisation.

2. Account Registration

You must provide accurate and complete information when creating an account.
You are responsible for maintaining the confidentiality of your login credentials.
You must notify us immediately if you suspect unauthorised access to your account.
Each account is for a single school or organisation. Sub-accounts (branches, teachers, parents) are managed within that organisation's account.

3. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose or in violation of these Terms.
Upload or share content that is defamatory, obscene, abusive or harmful to minors.
Attempt to gain unauthorised access to other accounts, systems or networks.
Use automated tools to scrape, crawl or extract data from the Services without our written consent.
Reverse-engineer, decompile or disassemble any part of the Services.
Resell or sublicense access to the Services to third parties without our consent.

4. School Data and Privacy

Your school owns all data (student records, attendance, fees, chat messages) entered into the platform ("School Data"). We process School Data as a data processor under your instruction. We will not access, use or disclose School Data except as necessary to provide the Services, as described in our Privacy Policy, or as required by law.

5. Fees and Payment

Subscription fees are charged in advance on a monthly or annual basis as agreed at signup.
All fees are non-refundable except where required by applicable law.
We may change pricing with 30 days' prior written notice. Continued use after the effective date constitutes acceptance.
Accounts with overdue invoices may be suspended after 14 days' notice.

6. Free Trial

We may offer a 14-day free trial with full access to the Services. No credit card is required for the trial. At the end of the trial, you may choose a subscription plan or your account will be deactivated. Trial data is retained for 30 days after deactivation.

7. Intellectual Property

All intellectual property in the Services — including code, design, trademarks and documentation — belongs to Amigo Smart Tech. You receive a limited, non-exclusive, non-transferable licence to use the Services during your subscription. You retain ownership of your School Data.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by third-party services, internet outages or events outside our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to you for any claim arising from the Services shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential or punitive damages.

10. Termination

You may cancel your subscription at any time by contacting us. Access continues until the end of the current billing period.
We may suspend or terminate your account immediately for material breach of these Terms, non-payment after notice, or if required by law.
On termination, we will provide an export of your School Data on request within 30 days, after which it will be permanently deleted.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in India.
